2. Services

SoftUnique provides software development, website development, AI business automation, WhatsApp Business API integration, software integration, digital marketing, and SEO/AIO services.

The specific scope, deliverables, timelines, and fees for each project will be outlined in a separate service agreement or proposal. These Terms and Conditions supplement any such agreements.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.

3. Client Responsibilities

As a client of SoftUnique, you agree to:

• Provide accurate, complete, and timely information necessary for the delivery of services

• Review and provide feedback on deliverables within agreed-upon timeframes

• Ensure that all content, materials, and data provided to us do not infringe upon any third-party rights

• Maintain the confidentiality of any account credentials or access provided to you

• Comply with all applicable laws and regulations in connection with your use of our services

4. Intellectual Property

Unless otherwise specified in a separate agreement:

• All intellectual property rights in custom software, designs, and deliverables created specifically for a client will transfer to the client upon full payment

• SoftUnique retains ownership of all pre-existing tools, frameworks, libraries, and methodologies used in the delivery of services

• We reserve the right to use general knowledge and experience gained during project delivery for future work

• The SoftUnique name, logo, and branding remain the exclusive property of SoftUnique at all times

5. Payment Terms

Payment terms will be specified in individual project proposals or agreements. General terms include:

• Invoices are due within 14 days of issuance unless otherwise agreed upon

• Late payments may incur a fee of 1.5% per month on the outstanding balance

• We reserve the right to suspend or terminate services for accounts with overdue payments

• All fees are exclusive of applicable taxes, which will be charged where required by law

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to:

• Business plans, strategies, and financial information

• Technical specifications, source code, and architecture designs

• Customer data and personal information

• This obligation of confidentiality survives the termination of any service agreement.

7. Warranties and Disclaimers

SoftUnique warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards.

Except as expressly stated, our services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that our services will be uninterrupted, error-free, or that defects will be corrected within a specific timeframe, though we will make commercially reasonable efforts to address any issues.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• SoftUnique shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services

• Our total liability for any claim related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim

• We are not liable for damages resulting from circumstances beyond our reasonable control, including but not limited to acts of God, internet outages, or third-party service failures

9. Termination

Either party may terminate the service relationship under the following conditions:

• By providing written notice as specified in the applicable service agreement

• Immediately, if the other party materially breaches these terms and fails to cure such breach within 30 days of written notice

• Upon termination, the client shall pay for all services rendered up to the date of termination

• Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination

10. Website Use

When using our website, you agree not to:

• Use the website in any way that violates applicable laws or regulations

• Attempt to gain unauthorized access to any part of the website or its systems

• Use automated tools to scrape, crawl, or extract data from the website without permission

• Transmit any malicious code, viruses, or harmful content through the website

• Reproduce, distribute, or create derivative works from website content without our prior written consent

11. Indemnification

You agree to indemnify, defend, and hold harmless SoftUnique, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your violation of these Terms and Conditions

• Your use of our services in a manner not authorized by these terms

• Any content or materials you provide that infringe upon third-party rights

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which SoftUnique operates. Any disputes arising under these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the appropriate courts.
